These Terms and Conditions ("Terms and Conditions") cover the use of any product, site, and service available from Keloola as detailed below ("Services"). You agree to these Terms and Conditions by accessing or using the Services.
Definitions
- Account – means your access rights to be able to use the Services.
- Add-Ons or marketplace – means additional services outside the Package that can be selected according to your needs.
- You – means the Customer or Invited User.
- Keloola Fair Usage or Fair Usage Pricing (FUP) – means the limits as specified in the Keloola Package you ordered, including any limitations imposed by Keloola regarding the modules or features of the Keloola Services.
- Subscription Fee – means the monthly fee (including taxes) that you must pay according to the price list listed on the Website of each App.
- Intellectual Property Rights – means patents, functional models, petty patents or other similar rights, rights to inventions, copyrights and related rights, and other related rights, knowledge, inventions and software code, moral rights, trademarks and service marks, trade names, domain names, rights to product and packaging designs, rights to sue for misleading brand likeness or unfair competition, design rights, computer software rights, database rights, the right to use and protect the confidentiality of, confidential information (including technical skills and trade secrets), and all other intellectual property rights, whether registered or unregistered and including all applications and rights to apply and be granted, renew or extend, and the right to claim priority, any and all such similar or equivalent rights or forms of protection that exist now or will exist anywhere in the world.
- Confidential Information – means all information related to Keloola's (or its affiliates') business information (including, but not limited to, product design, product planning, data, software and technology, financial information, marketing plans, cost information, vendor or user data and any other confidential, non-public, and proprietary information concerning Keloola's business, operations, and assets) that has been or will be provided to you or any of your representatives by or on behalf of Keloola, along with all analyses, compilations, estimates, studies, or other documents prepared by you or your representatives containing any such information.
- We or Keloola – means PT Gema Teknologi Cahaya Gemilang.
- Service – means the software as a service (SaaS) for managing accounting, financial, and operational matters provided by Keloola through the Website, mobile applications, and/or other platforms.
- Active Period – means the active subscription duration of your Keloola Account that you have chosen and paid for.
- Package – means each module and feature unit in the Service that can be selected according to your needs.
- User – means the individual, organization, and/or other entity, registered to use the Services.
- Invited User – means any individual, organization, and/or other entity, other than the User, who uses the Services from time to time with the permission and invitation of the User.
- Website – means the internet site at the domain https://www.keloola.com/ or other internet sites developed by Keloola and may change from time to time.
Service Terms
You must comply with any policies available to you within our services. Do not misuse our services. For example, do not interfere with our services or try to access them using methods other than the interface and instructions we provide. You may only use our services if permitted by law, including applicable export control and re-export control laws and regulations. We may suspend or terminate the provision of our services if you do not comply with our terms or policies, or if we detect inappropriate behavior.
Using our services does not grant you ownership of any intellectual property rights in our services or the content you access. You may not use content from our services unless you obtain permission from its owner or are permitted by law. These terms do not grant you the right to use any branding or logos used in our services. Do not remove, obscure, or alter any legal notices displayed in or along with our services.
Our services display some content that is not Keloola’s. This content is the sole responsibility of the entity that makes it available. We may review content to determine whether it is illegal or violates our policies, and we may remove or refuse to display content that we reasonably believe violates our policies or the law. However, this does not necessarily mean we review content. So, do not assume we do.
User Obligations
Payment Obligations
- The invoice is the total nominal Subscription Fee for your Account based on the selected Service package and Active Period of service usage.
- Keloola will issue an invoice for the Subscription Fee of your Account before the Active Period starts (including extensions of the Active Period) until you terminate the Service.
- All invoices from Keloola will be sent to you via the billing contact you provided.
- You must make the payment according to the total nominal Subscription Fee listed on your invoice before the due date.
General Obligations
You must ensure that you only use the Service and Website for your legitimate internal business purposes and have obtained all necessary consents and permits to operate your business and use Keloola's Service and Website.
Access Requirements
You must ensure that all usernames and passwords required to access the Service are kept secure and confidential. You must immediately notify Keloola of any unauthorized use of your password or any other security breach.
Confidentiality and Privacy
Confidentiality
You agree to keep confidential all Confidential Information regarding the use of the Service. You shall not, without Keloola’s written consent, disclose or provide any Confidential Information to anyone or use it for personal benefit, other than as intended by these Terms and Conditions.
Privacy
Keloola maintains a privacy policy that outlines the obligations of the parties to respect personal information.
Intellectual Property Rights and Personal Data
- Ownership and all Intellectual Property Rights obtained in the Service, Website, and any related documentation remain the property of Keloola.
- You grant Keloola the legal right to obtain, access, and store the Data entered by Users into the Website to optimally access and use the Services.
Account Activation Terms, Implementation, and Usage Training
Your subscription Active Period is (i) 30 calendar days from the date payment is received by Keloola or (ii) another date if previously agreed upon between you and us.
Updates and Changes to the Services or These Terms and Conditions
Keloola Services may change from time to time at Keloola’s discretion, based on government decisions, system technical changes, and/or other reasons. Keloola reserves the right to amend these Terms and Conditions at any time, which shall become effective once the new or revised Terms and Conditions are posted on Keloola’s Website.
